1. Agreement

These Terms form a binding agreement between the business (you) and BitoCircle (we). By creating or using a business account, you accept these Terms and any policies referenced herein.

2. Eligibility & registration

You must be legally authorised to enter contracts and operate in your jurisdiction. For businesses, you represent that you have authority to bind your entity. We may require identity and ownership verification (KYB) to enable payments, token promotions or ad spend.

3. Account responsibilities

  • Maintain accurate account information and update changes promptly.
  • Protect login credentials; enable 2FA and limit admin access to authorised personnel.
  • Be responsible for activities of staff or contractors given access to the account.

4. Services & paid features

BitoCircle provides free and paid features (promoted listings, analytics, token integrations). Paid features are governed by the pricing and terms displayed when you opt-in. Trial periods, limits, and feature availability may vary.

5. Payments, fees & refunds

Payments for platform services are processed by third-party payment providers. You agree to pay all applicable fees at the rates in effect when services are provided. Refunds are issued according to the refund policy of the specific product or service. Chargebacks and payment disputes will be investigated and may result in temporary holds on payouts.

6. Crypto products, token promotions & NFTs

As a crypto-native platform we support token sales, NFTs, staking promotions and on-chain integrations. Important rules and guidance:

  • Pre-approval: Token sales, token-gated content, and NFT drops may require prior review/approval. Submit whitepapers, tokenomics and legal disclosures when requested.
  • Disclosure & risk notices: Clearly disclose financial risks and terms. If you market tokens, include risk disclaimers and note that tokens may be illiquid or speculative.
  • KYC/AML: Token purchases, large transfers, or programmable payouts may trigger enhanced KYC; you must cooperate and provide business/beneficiary info.
  • Custody & keys: We do not ask for private keys. If using our custodial features, follow our custody terms; if you operate non-custodial wallets, you remain responsible for key security.
  • Prohibited activities: wash trading, fake volume, bot-driven manipulation, spoofing, or providing misleading token metrics are strictly prohibited.
Example: If you run an airdrop to reward creators, you must supply an accurate participant list, confirm wallet addresses, and disclose any vesting schedules or eligibility rules.

7. Content ownership & intellectual property

You retain rights in your content. By posting you grant a non-exclusive, worldwide licence to display and distribute content to operate the service. Do not upload third-party content without rights. We respond to valid copyright notices under applicable law.

8. Compliance, AML & law enforcement

Businesses must comply with all applicable laws, including AML, sanctions and consumer protection laws. We will report suspicious activity to authorities where required and may restrict services to preserve compliance.

  • Implement transaction monitoring and cooperate with requests for information.
  • Do not attempt to circumvent sanctions, export controls or local restrictions.

9. Privacy

Your use of the platform is governed by our Privacy Policy. You must ensure any customer data you collect via the platform complies with applicable data protection laws and your posted privacy notice.

10. Liability & disclaimers

To the extent permitted by law, BitoCircle's liability is limited to direct damages up to fees paid by the business to BitoCircle in the 12 months prior to the claim (or USD 100 if none). We disclaim implied warranties and are not liable for indirect, incidental, or consequential losses.

11. Suspension & termination

We may suspend or terminate accounts for TOS violations, fraud, or legal reasons. On termination, access ends. We may retain data where needed to comply with law or resolve disputes. Export your data before closing your account.

12. Dispute resolution & governing law

These Terms are governed by [Jurisdiction]. Disputes may be resolved by arbitration or local courts depending on your location and the clause in effect. Consumer protections in your region may apply.
